Today Apple released a minor update to Xcode for MAC OS X Lion. Xcode 4.1 was released last month for Lion users and it was running into some issues that caused users to face difficulties with installation. During the installation users were prompted to close iTunes before it can be installed, but the message didn’t used to disappear even if the iTunes was closed.
As noted by macrumors on Apple support documents the users have to close iTunesHelper process to do the installation.
Apple’s support document on the issue, the company notes that users also need to quit the iTunesHelper process, which can be found in and exited from the Activity Monitor utility. Once iTunesHelper has been quit, the installation proceeds normally.
Today Apple fixed the issue with the release of delta update of Xcode 4.1.1 through MAC App Store.

This is a delta update to Install Xcode.app that fixes the “Installation Alert” to quit iTunes. You do not need to re-run the installer if you already have Xcode 4.1 for Lion successfully installed, as the included tools are unchanged in this update.
